1. Acceptance of terms
These Terms & Conditions govern your access to and use of the SYSTM website, dashboard, accounts, payment services, corporate cards and related products (the “Services”). By creating an account or using the Services, you agree to be bound by these terms and our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility
The Services are intended for duly incorporated businesses and authorised representatives aged 18 or older. You represent that you have the authority to bind your organisation, and that your use of the Services will comply with all applicable laws, regulations and sanctions regimes.
3. Your account
You must provide accurate, complete and current business information. You are responsible for maintaining the confidentiality of your login credentials, approving transactions and promptly notifying us of any unauthorised access. We may suspend or restrict your account to comply with legal obligations or manage risk.
4. Description of services
SYSTM provides an agentic treasury operating system that may include:
- Multi-currency business accounts and virtual accounts;
- Corporate cards and expense management tools;
- Domestic and cross-border payments, FX and currency conversion;
- Yield-generating treasury products and cash-management features;
- AI-powered insights, forecasting, spend detection and payment recommendations.
Specific features, currencies and availability depend on your jurisdiction and account type. SYSTM is not a bank; banking services are provided by licensed partner institutions.
5. Fees and payments
Fees for the Services are disclosed in your account agreement, pricing page or order form. We may change fees with reasonable notice. You are responsible for all transaction fees, FX spreads, third-party charges and taxes associated with your use of the Services.
6. Transactions
You authorise us and our partners to execute transactions in accordance with your instructions and approved limits. We may delay, block or reverse transactions to comply with law, prevent fraud or manage risk. Once a payment is sent, it may not be recoverable.
7. Prohibited use
You may not use the Services to:
- Engage in illegal activity, fraud, money laundering or terrorist financing;
- Violate sanctions, trade embargoes or export controls;
- Operate in prohibited industries, including unregulated gambling or adult services;
- Impersonate another person or misrepresent your business;
- Interfere with or disrupt our systems, or attempt to gain unauthorised access.
8. Intellectual property
SYSTM and its licensors own all rights in the Services, including software, dashboards, AI models, branding and content. We grant you a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes. You may not copy, modify, reverse engineer or resell the Services without our written consent.
9. Disclaimers
The Services are provided on an “as is” and “as available” basis. SYSTM does not provide financial, investment, tax or legal advice. Any yield rates, forecasts or recommendations displayed in the dashboard are informational only and do not guarantee future returns. We do not guarantee that the Services will be uninterrupted, error-free or secure at all times.
10. Limitation of liability
To the fullest extent permitted by law, SYSTM and its affiliates will not be liable for indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunities arising from your use of the Services. Our aggregate liability is limited to the fees you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless SYSTM, its affiliates, directors, employees and partners from any claims, losses, liabilities or expenses arising from your breach of these terms, your misuse of the Services, or your violation of any law or third-party right.
12. Termination
You may close your account at any time. We may suspend or terminate your access if you breach these terms, pose a compliance or security risk, or are required to do so by law. Upon termination, your obligations and our rights accrued before termination survive.
13. Governing law and disputes
These terms are governed by the laws of England and Wales. Any dispute arising from these terms or the Services will be resolved exclusively in the courts of England and Wales, except where mandatory local law requires otherwise.
14. Changes to these terms
We may update these Terms & Conditions from time to time. Material changes will be notified by email or through the Services at least 30 days before taking effect, unless required by law or necessary to protect the Services. Continued use after changes means you accept the updated terms.
